Terms of Service

These Terms govern use of the First Ping website and, where applicable, the First Ping service operated by [TODO: LLC legal name] (“First Ping,” “we,” “us”), 4607 Library Road, Suite 220, Bethel Park, PA 15102. By using the site or purchasing a pilot, you agree to these Terms. If you are accepting for a company, you represent you have authority to bind it.

1. The service

First Ping helps Clients respond to inbound leads (for example web forms, emails, and—when enabled and registered—missed-call text-back) with automated messages, qualifying questions, and appointment booking within rules the Client sets.

The service does not: quote job prices; diagnose roofs; promise insurance coverage or claim outcomes; act as a public adjuster; or form a home-improvement contract between the Client and a homeowner. Bookings are scheduling aids under Client rules and may be marked subject to Client confirmation.

“No long-term contract” on our marketing means month-to-month billing with no annual lock-in unless you choose an annual plan. These Terms and any Client Service Agreement still apply.

2. AI and automation disclosure

Replies may be generated or assisted by automated systems. They can be incomplete or incorrect. Clients must review and approve operating rules. Homeowners who ask will be told the assistant is automated; we aim to disclose automation on first contact where practicable.

3. Pricing and billing

Unless a separate order says otherwise: pilot $197 for the first month, no setup fee; then $297/month, billed in advance. Optional annual plan $2,970/year (2 months free). Founding Pittsburgh roofer offer (approved): first 5 Pittsburgh roofers keep $297/month locked for 12 months while subscribed. Founding spots are limited and not a fake deadline.

Payments are processed by our payment provider. Taxes may apply. Partial months are not refunded unless required by law or an approved guarantee states otherwise.

4. Cancellation

[DRAFT — pending Tyler approval] Month-to-month after the pilot. Cancel by email to hello@tryfirstping.com before the next billing date to avoid the next charge. If you cancel before day 30 of the pilot, you are not charged the $297 renewal. We may suspend or terminate for nonpayment, abuse, or legal/compliance risk.

5. Accounts and Client responsibilities

Clients must: (a) provide accurate business information; (b) keep calendar availability current; (c) have a lawful right to contact each lead and maintain required consents (including TCPA/SMS consent where applicable); (d) honor STOP/HELP and other opt-outs; (e) comply with licensing and home-improvement laws that apply to their trade; (f) not instruct the service to make unlawful or deceptive statements.

6. SMS

SMS and missed-call text-back are available after carrier approval (A2P 10DLC). Until approved, we operate email-first; nothing about texting is live at launch. STOP cancels; HELP for help; message and data rates may apply. Clients are responsible for consent language on their forms and intake channels; we provide tooling to honor opt-outs we receive.

7. Free speed-to-lead audit

If you request an audit, we may submit one clearly labeled test inquiry through your public web form to observe what an automated confirmation (if any) returns. We do not book fake jobs or place undisclosed test calls under these Terms. You can ask us not to test your form.

8. Acceptable use

No attempting to break security, scrape in a way that harms the service, spam, or use First Ping for unlawful telemarketing or deception.

9. Intellectual property

The site, software, and branding are owned by First Ping or its licensors. Clients retain ownership of their trademarks and of homeowner data they provide. We get a limited license to use Client name/logo to provide the service (and, with permission, as a customer reference).

10. No guarantee of results

We do not guarantee lead volume, reply times, appointments, close rates, or revenue. Website calculators and samples are estimates or fiction for illustration. Reply times vary.

11. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AI OUTPUTS ARE NOT PROFESSIONAL, LEGAL, OR CONTRACTING ADVICE.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FIRST PING’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SITE OR SERVICE IS LIMITED TO THE FEES YOU PAID TO FIRST PING IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR LOST-PROFIT DAMAGES. SOME LIMITATIONS MAY NOT APPLY WHERE PROHIBITED.

13. Indemnity (Clients)

If you are a Client, you will defend and indemnify First Ping against claims arising from: your leads and content; your failure to obtain required consent; your roofing/home-improvement work; and instructions you give us that cause unlawful messages—except to the extent caused by our willful misconduct.

14. Governing law

Laws of the Commonwealth of Pennsylvania, excluding conflict rules. Exclusive venue: state or federal courts in Allegheny County, Pennsylvania [TODO: attorney confirm].

15. Changes

We may update these Terms by posting a new version. Continued use after the effective date constitutes acceptance where permitted by law. Material changes for paying Clients may also be emailed.
